AUTO BUY (“Company,” “we,” “us,” or “our”) operates the website autobuy.com.co (the “Site”) and provides international vehicle export services. These Terms of Service (“Terms”) govern your access to and use of our Site, as well as your participation in vehicle procurement, export coordination, and related services offered by AUTO BUY.

By accessing our Site, submitting an inquiry, requesting a quotation, or entering into a transaction with AUTO BUY, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are acting on behalf of a company, organization, or government entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree with any provision of these Terms, you must not access the Site or engage with our services.

1. DEFINITIONS

For purposes of these Terms:

“Buyer,” “Client,” or “You” refers to any individual, dealer, distributor, fleet operator, corporate entity, or government agency engaging with AUTO BUY for vehicle export services.
“Vehicle” means any new automobile, electric vehicle, hybrid, gasoline-powered car, SUV, sedan, pickup truck, or commercial vehicle offered for export by AUTO BUY.
“Order” means a confirmed purchase agreement between Buyer and AUTO BUY for one or more Vehicles, specifying quantity, specifications, pricing, Incoterms, and delivery terms.
“Incoterms” refers to the International Commercial Terms published by the International Chamber of Commerce, governing risk, cost, and responsibility allocation in international trade (e.g., FOB, CIF, CFR).
“Export Documentation” includes commercial invoice, packing list, certificate of origin, bill of lading, export license, and any other documents required for customs clearance in the destination country.

2. ELIGIBILITY AND ACCOUNT VERIFICATION

Our services are available exclusively to qualified B2B buyers and authorized importers. By using our Site or services, you represent and warrant that:

You are at least 18 years of age and legally capable of entering binding contracts
You are a registered business entity, licensed dealer, fleet operator, or authorized representative of a government or corporate buyer
You possess valid import licenses, trade registrations, or other credentials required by your jurisdiction to import motor vehicles
All information provided during registration, inquiry, or order placement is accurate, current, and complete

AUTO BUY reserves the right to verify Buyer credentials, request supporting documentation, and decline service to any party that does not meet our eligibility criteria or compliance standards.

3. PRODUCT INFORMATION AND PRICING

Accuracy of Information

Vehicle specifications, features, images, and technical data displayed on our Site are provided for informational purposes and are based on information supplied by manufacturers and authorized suppliers. While we strive for accuracy, we do not guarantee that all descriptions, photographs, or specifications are error-free, complete, or current. Final vehicle configuration and features are confirmed at the time of Order placement.

Pricing and Quotations

All prices are quoted in United States Dollars (USD) unless otherwise agreed in writing
Pricing is based on factory-level export terms and is subject to change without notice due to currency fluctuations, manufacturer adjustments, or supply chain variables
Quotations are valid for a period specified in the quotation document, typically 7 to 14 days from issuance
Final pricing is confirmed only upon written Order acceptance by AUTO BUY

Incoterms and Cost Allocation

Unless otherwise agreed in writing, all transactions are governed by applicable Incoterms (e.g., FOB Shanghai, CIF Destination Port). The selected Incoterm determines:

Which party bears transportation, insurance, and customs costs
When risk of loss or damage transfers from Seller to Buyer
Responsibility for export and import clearance procedures

Buyers are responsible for understanding and complying with the obligations associated with their chosen Incoterm.

4. ORDER PROCESS AND ACCEPTANCE

Inquiry and Quotation

Buyers may submit vehicle inquiries through our Site or via email to sales@autobuy.com.co. AUTO BUY will respond with a detailed quotation including vehicle specifications, unit pricing, estimated lead time, shipping terms, and validity period.

Order Confirmation

An Order is formed only when:

Buyer submits a written purchase request referencing a valid quotation
AUTO BUY issues a written Order Confirmation or Proforma Invoice
Buyer acknowledges acceptance of the Confirmation in writing

Verbal agreements, preliminary discussions, or website browsing do not constitute a binding Order.

Order Modifications

Any changes to vehicle specifications, quantity, delivery terms, or destination after Order Confirmation require mutual written agreement and may result in price adjustments, revised lead times, or cancellation fees.

5. PAYMENT TERMS AND METHODS

Payment Conditions

Payment terms are specified in each Order Confirmation and may include advance deposit, milestone payments, or full prepayment
Standard terms require a non-refundable deposit (typically 30 percent) upon Order Confirmation, with balance due prior to vehicle shipment or as agreed
All payments must be made in USD via wire transfer, letter of credit, or other mutually agreed secure method

Payment Verification

Orders will not proceed to vehicle allocation or preparation until payment is received and cleared in AUTO BUY’s designated account. Buyers are responsible for all bank charges associated with international transfers.

Currency and Exchange Risk

Prices are fixed in USD at the time of Order Confirmation. Buyers bear all risks related to currency conversion, exchange rate fluctuations, and associated banking fees in their jurisdiction.

6. EXPORT COMPLIANCE AND DOCUMENTATION

Regulatory Responsibility

Buyers are solely responsible for:

Understanding and complying with import regulations, emissions standards, safety requirements, and registration rules in their destination country
Obtaining all necessary import licenses, customs clearances, and local approvals
Paying all applicable duties, taxes, VAT, port fees, and handling charges in the destination country

Documentation Support

AUTO BUY will provide standard Export Documentation as required for customs clearance, including:

Commercial Invoice
Packing List
Certificate of Origin
Bill of Lading or Air Waybill
Export License (where applicable)
Manufacturer’s Certificate of Compliance or Conformity

Additional documentation requests may incur administrative fees and require extended processing time.

Compliance with International Trade Laws

Both parties agree to comply with all applicable export control, sanctions, anti-money laundering, and anti-corruption laws. AUTO BUY reserves the right to suspend or cancel any transaction that raises compliance concerns or involves restricted jurisdictions, entities, or individuals.

7. SHIPPING, DELIVERY, AND RISK TRANSFER

Logistics Coordination

AUTO BUY coordinates vehicle preparation, inland transport, port handling, and ocean or air freight through vetted logistics partners. Shipping schedules are estimates and subject to carrier availability, port congestion, weather, and other factors beyond our reasonable control.

Risk of Loss

Risk of loss or damage to Vehicles transfers from AUTO BUY to Buyer in accordance with the agreed Incoterm:

FOB (Free On Board): Risk transfers when Vehicles pass the ship’s rail at the port of shipment
CIF (Cost, Insurance, Freight): Risk transfers at port of discharge; AUTO BUY arranges marine insurance for the voyage
Other terms: As specified in the Order Confirmation

Buyers are encouraged to verify insurance coverage and consider additional coverage for inland transit or post-discharge handling.

Delays and Force Majeure

AUTO BUY is not liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to: manufacturer production delays, port closures, labor disputes, natural disasters, government actions, pandemics, or supply chain disruptions. In such events, we will notify Buyer promptly and work to mitigate impacts.

8. INSPECTION AND ACCEPTANCE

Pre-Shipment Inspection

Buyers may request pre-shipment inspection reports, photographs, or video verification of Vehicles prior to loading. AUTO BUY offers multi-point digital inspection services upon request. Final acceptance of vehicle condition is deemed to occur upon completion of pre-shipment inspection or, if waived, upon issuance of the Bill of Lading.

Claims for Damage or Discrepancy

Buyers must inspect Vehicles upon receipt at the destination port and report any visible damage, missing items, or specification discrepancies:

In writing to AUTO BUY and the carrier within 48 hours of discharge
With supporting photographs, inspection reports, or carrier documentation

Claims not reported within this timeframe may be deemed waived. AUTO BUY will assist in pursuing claims with carriers or insurers where liability is established.

9. WARRANTIES AND DISCLAIMERS

Manufacturer Warranty

Vehicles exported by AUTO BUY are brand-new and covered by the original manufacturer’s warranty, valid in accordance with the manufacturer’s global or regional policy. Warranty service, repairs, and parts availability are administered by authorized service centers in the Buyer’s jurisdiction. AUTO BUY is not a manufacturer and does not provide independent vehicle warranties.

Disclaimer of Implied Warranties

EXCEPT FOR EXPRESS MANUFACTURER WARRANTIES, ALL VEHICLES AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” AUTO BUY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF DEALING. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

No Guarantee of Import Approval

AUTO BUY does not guarantee that any Vehicle will meet the regulatory, emissions, or homologation requirements of the Buyer’s country. Buyers assume full responsibility for verifying compliance prior to Order placement.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTO BUY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY VEHICLE TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY BUYER FOR THE SPECIFIC VEHICLE OR SERVICE GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL AUTO BUY, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, OR DATA LOSS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. INDEMNIFICATION

Buyer agrees to indemnify, defend, and hold harmless AUTO BUY, its affiliates, and respective officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of:

Buyer’s breach of these Terms or applicable law
Buyer’s failure to comply with import regulations or customs requirements
Unauthorized use of the Site or AUTO BUY intellectual property
Claims by third parties related to Buyer’s import, distribution, or resale of Vehicles

12. INTELLECTUAL PROPERTY

All content on the Site, including text, graphics, logos, images, software, and vehicle data, is the property of AUTO BUY or its licensors and is protected by international copyright, trademark, and intellectual property laws. Buyers are granted a limited, non-exclusive, non-transferable license to access and use the Site for legitimate business purposes related to vehicle procurement. Unauthorized reproduction, distribution, or commercial use of Site content is strictly prohibited.

13. PRIVACY AND DATA PROTECTION

Our collection and use of personal and business information is governed by our Privacy Policy, available at autobuy.com.co/privacy. By using our Site and services, you consent to the data practices described therein, including international data transfers necessary for order fulfillment and compliance.

14. GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law principles.

Dispute Resolution

Any dispute arising out of or relating to these Terms or a vehicle transaction shall first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing, China, in accordance with its then-current rules. The arbitration award shall be final and enforceable in any court of competent jurisdiction.

Jurisdiction

Subject to the arbitration provision above, the parties consent to the exclusive jurisdiction of the courts located in Beijing, China, for any actions related to enforcement of arbitration awards or injunctive relief.

15. FORCE MAJEURE

Neither party shall be liable for failure or delay in performing obligations (except payment obligations) due to causes beyond reasonable control, including acts of God, war, terrorism, civil unrest, labor strikes, pandemics, government restrictions, port closures, or supply chain failures. The affected party shall notify the other promptly and use commercially reasonable efforts to resume performance.

16. AMENDMENTS AND MODIFICATIONS

AUTO BUY reserves the right to modify these Terms at any time. Updated Terms will be posted on the Site with a revised “Last Updated” date. Continued use of the Site or services after changes constitutes acceptance of the revised Terms. Buyers are encouraged to review these Terms periodically.

17. SEVERABILITY AND WAIVER

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Failure by AUTO BUY to enforce any right or provision shall not constitute a waiver unless expressly stated in writing.

18. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Order Confirmations, and any written amendments, constitute the entire agreement between Buyer and AUTO BUY regarding the subject matter and supersede all prior discussions, proposals, or agreements, whether oral or written.
